Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Sosta website, mobile application, and related services (collectively, the "Platform"), operated by Sosta and its affiliates ("Sosta," "we," "our," or "us"). The Platform connects Users seeking home and onsite services ("Consumers") with independent local service providers ("Service Professionals").

By creating an account, downloading the app, or otherwise accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ACCESS OR USE THE PLATFORM.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Sosta. We may update these Terms from time to time as described in Section 13 below; your continued use of the Platform after any changes take effect constitutes acceptance of the revised Terms.

2. Eligibility & Account Registration

• You must be at least 18 years old to create an account or use the Platform.
• You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• Sosta reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

3. Use of the Platform

Sosta provides a marketplace that allows Consumers to search for, negotiate with, schedule, and pay Service Professionals for home and onsite services, and allows Service Professionals to offer their services, communicate with Consumers, and receive payment through the Platform.

• Sosta is not itself a provider of home or onsite services; Service Professionals are independent third parties, not employees or agents of Sosta.
• You agree to use the Platform only for lawful purposes and in accordance with these Terms.
• Sosta does not guarantee the availability, quality, safety, or legality of any service offered by a Service Professional, although we take reasonable steps to verify providers before they are listed on the Platform.

4. Service Professionals

If you register as a Service Professional, you additionally agree that:

• You possess the necessary skills, licenses, permits, and insurance (where applicable) required to lawfully perform the services you offer.
• You will accurately describe your services, availability, and pricing, and will honor prices agreed with a Consumer through the Platform's negotiation feature.
• You are solely responsible for the manner, quality, and outcome of the services you provide, and for complying with all applicable laws, including tax obligations arising from your earnings on the Platform.
• Sosta may verify your identity and credentials, and may suspend your ability to receive job requests if you receive repeated complaints or violate these Terms.

5. Fees & Payments

• Consumers may fund an in-app wallet via bank transfer or card, and pay Service Professionals for completed services through the Platform.
• Sosta may charge a service fee or commission on transactions completed through the Platform; applicable fees will be disclosed to you before you confirm a transaction.
• Prices for services may be set by the Service Professional and are subject to negotiation with the Consumer through the in-app chat feature prior to confirmation.
• Withdrawals from your Sosta wallet to an external bank account may take a reasonable processing time and may be subject to verification checks.

6. Cancellations & Refunds

Either party may cancel a scheduled service in accordance with the cancellation options presented in the app prior to the service being confirmed as in progress. Refunds for payments already made are assessed on a case-by-case basis, taking into account the timing of the cancellation and whether any work has already been performed. Repeated or last-minute cancellations may affect your ability to use certain features of the Platform.

7. Prohibited Conduct

When using the Platform, you agree not to:

• Provide false, misleading, or fraudulent information;
• Harass, threaten, or discriminate against other Users;
• Attempt to circumvent the Platform to avoid applicable fees;
• Use the Platform for any unlawful, harmful, or unauthorized purpose;
• Interfere with or disrupt the security or performance of the Platform;
• Copy, modify, reverse-engineer, or create derivative works of the Platform without our written consent.

Violation of this section may result in suspension or termination of your account, in addition to any other remedies available to us under law.

8. Intellectual Property

The Platform, including its design, text, graphics, logos, and software, is owned by Sosta or its licensors and is protected by applicable intellectual property laws. Except as expressly permitted, you may not reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent. Content you submit to the Platform ("User Content") remains yours, but by posting it you grant Sosta a non-exclusive, royalty-free licence to use, display, and distribute that content in connection with operating and promoting the Platform.

9. Disclaimers & Limitation of Liability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. Sosta does not warrant that the Platform will be uninterrupted, error-free, or completely secure. To the fullest extent permitted by law, Sosta shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss arising from services performed by Service Professionals, who act as independent contractors and not as agents or employees of Sosta.

10. Indemnification

You agree to indemnify and hold harmless Sosta, its affiliates, and their respective officers and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to Sosta, other Users, or third parties. You may stop using the Platform and close your account at any time by contacting us or through your account settings.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Changes to These Terms

Sosta may update these Terms from time to time to reflect changes to our Platform or applicable law. We will post the updated Terms on this page with a revised "Last updated" date. We encourage you to review these Terms periodically.
